March 28, 2011
San Diego, California - Following the successful launch of the brand at SIA in January, KLIИT Skis is excited to announce the signing of Tanner Rainville. Tanner is well known for his versatility and strong skiing style in competitions and his revolutionary backcountry segments in Level 1 films.
Tanner had this to say about his new ski deal, “I just got back from 2 weeks in Japan, filming backcountry with the Level 1 crew for their next film. I rode the new Krypto from KLIИT, which were just released a week earlier, and I'm really stoked on the way the product looks and performs.”
“We are very excited to have Tanner on board at KLIИT,” said Ludo Boinnard, KLIИT Founder. “We think that Tanner defines what today’s skier is all about, and what KLIИT is all about. His early success in competitions combined with his ability to showcase his style in the backcountry makes him the perfect talent to promote the performance available in every KLIИT ski.”
KLIИT Skis was launched in January as part of a joint program with Japanese ski and snowboard manufacturer Swallow, which brings to the table more than 60 years of manufacturing experience. Ludo Boinnard has developed multiple industry-leading companies in the action sports space, most notably as co-founder of ONE Industries.
KLINT's mission is to make things simpler and better for all of us. KLINT respects skiing heritage, the mountains, the enjoyment of it all, good friends and keeping things fun. We remember the past, enjoy the present and work to make a better future. KLINT is the shape of things to come.

News: Rahlves, McConkey & Plake To Join U.S. Ski and Snowboard Hall of Fame

April 1, 2011
Sun Valley, Idaho (US Ski Team) – In a competitive career spanning two decades, Daron Rahlves has his share of medals and trophies. A super G World Championship in 2001. Hahnenkamm champion in 2004. Two medals at 2005 Worlds. 12 World Cup victories. The 2008 X Games skicross gold. Saturday, Rahlves will be honored with induction into the U.S. Ski and Snowboard Hall of Fame at a ceremony in Sun Valley. But does it mean he's retired? Not on your life!
Pointing his Atomic skis downhill at 85 mph was just one phase of Rahlves' career. Ski racer? Yes. But, first and foremost, a skier.
"I don’t want people to look back on my history and say 'man that guy was a good ski racer,' said Rahlves. "I want people to know me as a skier who loves skiing. Staying active and influential in the ski world is really important to me."
It's fitting that among the group of six Hall of Fame inductees are two more of skiing's greatest names – Glen Plake and the late Shane McConkey. Plake is a former freestyle skier turned skiing ambassador whose trademark Mohawk hairdo is known to every skier young and old. McConkey was one of the sport's most daring skiers, literally defining a generation of extreme skiers before his tragic death in a 2008 skiing accident.
"Everyone grew up watching Glen Plake," said Rahlves. "For the last 20 years, he's been the most iconic guy in the ski world. He's done a lot for our sport in terms of recognition. It helps to have a two-foot Mohawk. But it's also about his smile and that signature cackle."
Rahlves and Plake caught up at a ski event earlier this winter and joked about their induction. "He said he didn't think he was going to accept it because he's not done skiing," laughed Rahlves. "I told him you don't have to hang it up to be in the Hall. Besides Plake's never going to hang it up and neither will I."
Plake, McConkey and Rahlves all grew up skiing Tahoe. Each drew inspiration from the others. "Shane, he's done some amazing things," said Rahlves. "Before my first World Cup win, I was skiing with Shane in Tahoe the day before I left for Norway. He opened my eyes to a whole new way of being creative on the mountain. I was always into going fast and doing bigger lines. But he was just really technical and always having fun. I have to attribute some of the feeling I have for that win in Norway to Shane. After ripping with him, I just took that fun into ski racing."
That March, 2000 weekend in Norway, , Rahlves swept to a pair of wins on the same course that brought Tommy Moe Olympic gold fame six years earlier in Kvitfjell.
"Daron had a passion for skiing that was unlike any other World Cup racer," said former U.S. Ski Team Coach Phil McNichol, who was with Rahlves during the pinnacle of his racing career. "A lot comes from his lineage of being a Tahoe skier growing up with Glen and Shane. He just had this intense passion whether skiing the Mousefalle or skipping a rest day to hit some powder."
McNichols shared a story of the U.S. Championship downhill at Squaw Valley being canceled due to new snow. "Daron was out there inspecting in downhill skis with racing bindings when it was called. He didn't waste a minute getting to the powder – didn't even take time to change skis. He caught massive air off this jump, the skis didn't release and he threw out his hip."
Rahlves still puts fun into skiing every day. While he's no longer pulling on a bib and arcing turns through World Cup race courses, he's into his sport every day of the year. A quick visit to DaronRahlves.com has "D" talking lines from a heli over an Alaskan ridgeline, highlights from his signature Rahlves' Banzai Tour, pix from the Pain McSchlonkey Chinese Downhill and sick tricks from the Red Bull Cold Rush Cliffs.
"It's all about waking up at the crack of dawn, seeing clear blue skies and rallying out there," said Rahlves as his eyes stayed transfixed on the pillows of snow cascading down the spines of a steep ridgeline near Haines, Alaska.
Today, from his home base in Truckee, CA where he lives with wife Michelle and their three-and-a-half-year old twins, Rahlves globetrots to powder fields and innovative ski events. It's a big change from the five-month grind of the World Cup circuit where for a decade he was best in the world.

An episode of last season's Almost Live featuring Daron
In 2001 at St. Anton, Austria, Rahlves literally silenced the crowd of 25,000+ Austrians with his unprecedented win in the World Championship super G. It was an event that Austria totally owned. Until that day.
Three years later, after he had won over many Austrian fans, he did the unthinkable. He won the fabled Hahnenkamm. From 2000 to 2006, Rahlves won a dozen World Cups. He took three wins in Kvitfjell plus wins on the classic courses in Kitzbuehel, Bormio and Wengen. But winning at home in Beaver Creek on the Birds of Prey – well, that was very special!
"Every win was cool, but the highlights are definitely the first World Championship, Kitzbuehel, Wengen and especially Beaver Creek," he reminisced. "Birds of Prey is just a big deal for me. I skied so many years there and then it was time to just start winning on home turf. To get two wins there and also be on the podium a number of times is such a good feeling."
Not only did Rahlves dominate on the Birds of Prey, he did so together with teammate Bode Miller. Over four Decembers from 2003-2006, Rahlves or Miller won every year, often with the other right behind in second place. It was the most dominating period in U.S. men's downhill history.
"That was a very special time in history," said McNichol. "When we walked into Kitz or Beaver Creek, we did it with our heads held high. We were proud!"
"There's a special feeling that goes along with winning a big event in Europe," said Rahlves. "Whether it's a World Championship or Kitz or the Lauberhorn, they all carry a magic that can't be described.
"But I'm also really proud of what I've been able to do after my ski racing career - winning the X Games for skicross, going to the Olympics in a completely different sport."
Rahlves is a part of one of the most prestigious classes in Hall of Fame history. In addition to Plake and McConkey, he is joined by the legendary ski racer Bobby Cochran, Paralympic medalist Muffy Davis and Sun Valley and Snowbasin resort owner Earl Holding. The six will be honored Saturday evening at the Sun Valley Inn.
The U.S. Ski and Snowboard Hall of Fame is located in Ishpeming, MI – the birthplace of organized skiing in America in 1905. The Hall has recognized nearly 400 athletes and sport builders since 1956. The annual induction rotates around to America's greatest resorts, including Sun Valley which is celebrating its 75th anniversary.
"This is definitely a big honor and something I'm proud of," said Rahlves. "But to be among this list of names makes it even more special."

April 11, 2011
Seattle, Washington – Eddie Bauer, the Original Outdoor Outfitter, announced today that it has added mountain guide David Morton, skier Lexi duPont and snowboarders Chris Coulter, Kyle Miller and Wyatt Caldwell to its First Ascent team of guides and adventurers. The five athletes will join a roster of legendary First Ascent mountain guides, including Peter Whittaker, Ed Viesturs and Dave Hahn, along with a team of ski guides and kayakers, all who represent Eddie Bauer’s untamable spirit of adventure.
“In 2009, we launched First Ascent with a dream team of mountaineers who helped to build a line of outerwear and gear they trusted to keep them alive on some of the most rugged peaks in the world,” said Damien Huang, senior vice president of outerwear, active and gear at Eddie Bauer. “As we grow our expedition and snow sports lines, we look to our guides and adventurers to continually give us feedback on how we can make it better while inspiring us with their talent and thirst for exploration.”

Seattle native, David Morton, is a well rounded ice, rock and alpine climber with a history in ski mountaineering. He worked as a guide both domestically and internationally and has guided the seven summits – the highest mountains on each of the seven continents. David recently summited Mt. Everest with First Ascent Guide Melissa Arnot and will return to the Himalaya with Melissa later this month to climb Makalu, the fifth highest mountain in the world.
Lexi duPont is originally from Sun Valley, Idaho and attends the University of Colorado in Boulder when she’s not chasing powder. A skier since she could walk, Lexi raced for the Sun Valley ski team and qualified for the Junior Olympics two years in a row. As a member of the University of Colorado Free Style Team she entered the Free Skiing World Tour, placing in the top 10 overall in 2009 and 2010. In 2010, she was also featured in Warren Miller’s Wintervention.
Chris Coulter is originally from Albuquerque, New Mexico but now lives in Salt Lake City, Utah. Despite 13 broken bones before the age of 18, Chris did well in competitive snowboarding, winning the Slopestyle USASA Nationals in 1998 and Boarder Cross at the same competition in 1999. He’s appeared in more than 10 major snowboard films and graced the cover of Snowboarder in 2006. Chris holds Avalanche Level 1 and Level 2 certifications and spends his summers in the Patagonia Mountains of Argentina coaching and guiding.

Also a Seattle native, Kyle Miller currently lives at Crystal Mountain, WA. A late bloomer in the snowboarding industry, Kyle took up the sport at the age of 19. He summited the five highest volcanoes in Washington during the 2007 season and continued his passion the following year, becoming the first splitboarder ever to make snowboard descents of 25 Cascade volcanoes. The February 2011 issue of Backcountry Magazine called Kyle “ski and snowboard mountaineering’s new guard.”
Sun Valley’s Wyatt Caldwell has spent winters in Mammoth Lakes and Salt Lake City honing the craft he started at the age of five. After winning a USASA National Championship at 13, Wyatt began travelling and competing more extensively, winning the overall Grand Prix Halfpipe Championships and competing on the World Cup halfpipe contest circuit. He also won the Vans Cup Slopestyle and Rail Jam events and rode in the Winter X Games, U.S. Open and the Mountain Dew Tour. Changing his focus to backcountry in recent years, Wyatt received his Avalanche Level 2 certification and is a Wilderness First Responder.

News: Skiing & Snowboarding Unite In Tailgate Alaska's Recco World Freeriding Championships

April 10, 2011
Valdez, Alaska – A new tradition has been born on Thompson Pass in the legendary Chugach Mountains of Alaska. The Recco World Freeriding Championships went off – combining the ski field from the scheduled but weather cancelled WESC tribute with the tribute to the original big mountain snowboarding event, The King of the Hill.
“Due to challenging weather conditions during the competition, we decided to combine the fields from the ski and snowboarding events – what we came away with was an event the seamlessly combined both alpine traditions.” Competitors agreed. “I loved watching the skiers. Dan Vandermeulen’s runs were my favorite of the day,” said competitor Mike Basich.
On Wednesday, the skies over Alaska finally cleared with morning skies electric blue. The local National Guard as well as hardcore local snowmobilers rallied riders to the contest venue – Bro Bowl where the skiers went first – and mountain man legend Dan Vandermeulen dropped in flashing a high speed run over large exposed cliffs – setting the standard for the entire field. Dan ended up taking the victory with two hairball runs in no fall zones. Of note, Dan had the highest combined score of the event as the only competitor to top 500 (out of 600) points.
Next the snowboard competitors took to the stage –TNF Masters Champion Aaron Robinson straight lined both runs – even charging one switch. Former national halfpipe competitor Ross Baker turned heads as well. “Ross really surprised me with how hard he rips for a young guy.” said Snowboarder Magazine photographer Jeff Hawe. Ross grabbed second place. Mammoth local Scott Sheer took the third spot, stomping large cliffs in each run. The winner was Kirkwood local Will Brommelsiek taking top to bottom runs fluidly through some of the venues most challenging and dangerous terrain.
On the women’s side, Juneau’s Holly Enderle took the victory with clean airs and a fluid line through Bro Bowl. North Face Masters champion Iris Lazzareschi took second place and Australian Rachel Sheidow rounded out the podium.
Tailgate Alaska finishes up today with a couple of days of electric blue weather, concluding another banner year for the World Freeride Festival. According to organizer Mark Sullivan, “This year we learned a lot about putting on a major event. We worked with the State and local governments, local population and wintersports community to create something unique for mountain enthusiasts. Perhaps men’s competitor Dave Watson summed it up best, “This has been an amazing learning experience. It is awesome and I am definitely coming back”

News: Backcountry.com Donation Allows Utah Avalanche Center To Stay Open

April 11, 2011
Park City, Utah – On April 3, the Utah Avalanche Center (UAC) announced that it had reached the end of its funding and it would be closing for the season. The problem is, with deep late-season snowpack, the backcountry itself is still open for business. Without their expert information on current avalanche and weather conditions, thousands of backcountry users in Utah face a higher risk of accident, injury or even death due to unstable snow conditions and avalanche. To Park City-based online outdoor retailer Backcountry.com that fact was hard to swallow, so the company stepped in with a solution.
Today, Backcountry.com will donate $6,300 to non-profit Friends of the Utah Avalanche Center (FUAC) to restore and extend backcountry avalanche forecasting through April 24. Backcountry skiers, snowboarders and snowmobilers can breathe a sigh of relief.
“There’s too much snow in the Wasatch and there are too many people still in the backcountry. We need the UAC,” said Dustin Roberston, Chief Marketing Officer at Backcountry.com. “We made a call to find out what it would take to get them to stay open. It was within our power to make it happen, so we’re going to make it happen.”

News: Snowbird Ski Patrol Welcomes The Inventor Of The Avalanche Beacon

April 21, 2011
Snowbird, Utah - Snowbird’s Ski Patrol, world-renowned for providing cutting-edge snow safety on the most rugged lift-serviced terrain in North America, was recently visited by Dr. John Lawton. While Lawton’s name may not be synonymous with backcountry travel, his contribution to it has been used for the past 40 years by all individuals mindful of avalanche safety.
In 1968, a Cornell research team headed by Lawton and influenced by avalanche expert Ed Lachappelle, created the first analog avalanche transceiver, the Skadi aka the “hot dog” Skadi. Improving upon the radio transceiver/receiver system Lachapelle had experimented with, Lawton assembled a less complex and less expensive transceiver that worked off of a magnetic field and produced an audible tone.
The Skadi hit shelves in 1971 and quickly became the international standard for locating avalanche victims. Many lives have been saved since and it’s safe to assume the proliferation of avalanche awareness and the modern digital transceiver would not be what it is today without the work of Lawton’s team.
For those of us whose lives are so deeply intertwined with winter, the importance Lawton’s Skadi cannot be overstated. The odds of returning home safely have dramatically increased since the Skadi’s invention and in terms of backcountry travel, coming home safe is the number one rule.
Lawton, above, with the first gen Skadi (right) and a later version. Skiers (most often patrollers) nicknamed it the "hot dog” due to its red color and curved corners.

News: 693" And Counting, Snowbird Sets All Time Single Season Snowfall Record

April 26, 2011
Snowbird, Utah – Snowbird Ski and Summer Resort hit a 40-year all time record for single season snowfall this afternoon (April 26), reaching the 690-inch mark thanks to a spring storm that has brought two feet to Little Cottonwood Canyon in the last 48 hours. Snowbird’s previous single season official record was 688 inches, set in the 1983-84 season. The resort’s mid-mountain base currently stands at 190 inches, with more snow forecasted through the weekend.
“This has been a remarkable season for Snowbird,” said resort president Bob Bonar. “We’ll be celebrating with skiing til Memorial Day and most likely beyond, with conditions that are anything but typical spring skiing.”
690 inches, or 57.5 feet, measures nearly the height of each sculpture face at the Mount Rushmore National Monument, more than a third of the height of the Statue of Liberty, and easily tops Utah’s Delicate Arch in Arches National Park. This is the fourth consecutive season Snowbird has topped 600 inches mid-mountain, with water content in this year’s snowfall well exceeding record levels. The latest closing date in the history of the Little Cottonwood Canyon resort is July 4 (in 1995 and 2005).
“Having skied at Snowbird for 16 years, I can honestly say this is by far the best year of powder skiing I’ve ever experienced,” said local pro athlete Ben Wheeler. “The mountain is incredibly filled in, with areas that used to be 30-foot cliffs completely buried under all this snow.”

News: USSA Launches US Freeskiing Brand

May 2, 2011
New York, New York (US Ski Team) – Freeskiing athletes from the newest Olympic sport played a key role in development of the brand identity for the U.S. Ski and Snowboard Association's (USSA) new U.S. Freeskiing athletic program. The design was unveiled Monday at the New York offices of DraftFCB, which collaborated with the USSA on the creative process together with sport stakeholders.
The USSA announced the new U.S. Freeskiing program in January including the events of halfpipe and slopestyle skiing, along with skicross. In April, the International Olympic Committee added halfpipe skiing to the 2014 Olympic program in Sochi, Russia.
"We are an athletic organization and it was important that the athletes in this sport be integrally involved in the development of the new brand identity," said USSA President and CEO Bill Marolt. "Freeskiing athletes have taken great pride in advancing their sport to the Olympics and showcasing it through the millions of youth who ski in halfpipes and terrain parks at resorts across America."
The U.S. Freeskiing brand identity is the sport's visual language. The creative design is wrapped in patriotic red, white and blue, featuring a badge-like US on the left with a handcrafted flowing word mark for the word Freeskiing. The design evolves the shape of traditional letters into a dynamic motion – like freeskiing evolved from breaking the rules of traditional skiing. Each letter evolves in motion.
"The design represents how we feel about ourselves in our sport," said X Games champion Jen Hudak. "There's a feeling of independence – there are no rules, you can see that in the letters."
The USSA retained noted global agency DraftFCB to coordinate the creative process after a national agency search. Together with the USSA, DraftFCB managed an in-depth process to integrate freeskiing athletes in focus groups and maintained engagement with athletes through surveys and private interviews to foster original ideas and garner feedback leading up to the final design.
The new brand identity joins the USSA's family of notable brands including the U.S. Ski Team and U.S. Snowboarding. "As athletes, we've pushed for our unique U.S. Freeskiing brand and we're proud to be a part of this highly respected family of programs," added Hudak.
"Freeskiing is the most rapidly expanding market in skiing globally," said the USSA's Chief Revenue and Marketing Officer Andrew Judelson. "The brand identity developed together with DraftFCB with the athletes will greatly enhance the public awareness of U.S. Freeskiing, benefiting athletes and partners in these new Olympic sports and help us generate new revenue to support those programs.."
"No single movement defines the sport of freeskiing," said DraftFCB SVP Group Creative Director Roald Van Wyk. "So our challenge was to create a brand identity that encapsulated the constant change that freeskiing is going through - capturing the movement and evolution of each trick."
The brand identity will showcase the sport in U.S. Freeskiing television programming on NBC, Versus, and Universal Sports, as well as print and digital marketing materials. It will be available on a variety of merchandise from licensees and suppliers.
Freeskiing events are showcased annually in the USSA's Revolution Tour, Hole Shot and Grand Prix circuits, along with X Games, Dew Tour, The North Face Park and Pipe tour and Association of Freeskiing Professionals events, as well as the International Ski Federation's Freestyle World Cup.
Final approval on slopestyle skiing is pending with a decision anticipated in May or June. Skicross joined the Olympics in 2010

News: Jackson Hole Resort Wins Coveted Golden Eagle Environmental Award

Teton Village, Wyoming - On Friday May 6th at the National Ski Area Association’s (NSAA) Annual Conference in Carlsbad California, Jackson Hole Mountain Resort (JHMR) received NSAA’s Golden Eagle Award for Environmental Excellence for ‘Medium Size Ski Areas’ (200,000 – 500,000 visits). The award, which JHMR first received in 1995, represents the highest honor of environmental achievement in the ski industry. The award comes on the heels of JHMR’s 5 year anniversary of ISO 14001 registration (JHMR is one of 2 resorts in the US to reach this benchmark) and a very successful annual audit by KPMG which noted no non-conformities in terms of environmental performance.
JHMR President Jerry Blann states “We are honored to receive this recognition for our environmental work. We have invested strategically and labored intently to be the best possible stewards of our natural resources, and the Golden Eagle Award is welcome recognition of that work. Operating in the heart of the Greater Yellowstone Ecosystem, one of the most pristine natural environments in the world, is a privilege that comes with great responsibility. Measuring and minimizing our environmental impact is a duty that we owe to this spectacular region, as well as to our guests who come here to recreate in the midst of it. In collaboration with ISO 14001, the Brendle Group and the NSAA we have invested in the tools to significantly reduce our energy usage and greenhouse gas output, while we continue to grow our recycling initiatives, re-double our efforts to protect the threatened Whitebark Pines species, and underwrite public transportation in the region.”
NSAA President, Michael Berry comments: “Jackson Hole has been making tangible investments in the environmental sustainability of their operation. Their program represents the kind of real-world progress, year over year, which the National Ski Area Association is proud to hold up as an example of how to run an environmentally responsible ski area in the modern era.”
NSAA Public Policy Director, Geraldine Link adds: “Jackson Hole's environmental program is top notch and deserving of national recognition. The resort's ISO 14001 certified Environmental Management System has produced five years of impressive results. Jackson Hole's commitment to environmental protection is long-standing and exemplary for companies inside and outside the ski industry.”
2011 Highlights
In order to meet the 10x15 goals set in 2009, JHMR set itself on a course to reduce energy, waste, water and greenhouse gas emissions by 10% by 2015. The following are the highlights of various departments’ environmental work completed in 2011.
1. Food and Beverage implemented the Vendor Assessment Scoring; an internally developed score chart that helps identify food providers whose processing and delivery represents the lowest environmental impacts.
2. Vehicle maintenance modified a Ford Excursion to run on waste vegetable oil--sourced from the dining facilities. Plans are underway to convert further vehicles.
3. Vehicle Maintenance recycled all motor oil, as well as batteries, antifreeze, and all snowmelt from grooming equipment.
4. Mountain facilities succeeded in reducing propane use by 20% over last year, through the implementation of ‘automation controls’ and modifications to the heating systems across the resort.
5. JHMR invested in the protection of the threatened Whitebark Pine trees with the purchase and application of 575 Verbenone Packets and the application of Carbaryl Spray to counteract pine beetle infestation.
6. JHMR commissioned the Brendle Group to conduct a Greenhouse Gas Inventory and establish a subsequent Management Plan to assess and minimize energy usage and greenhouse gas output.
7. JHMR joined 7 other ski areas in the ‘National Ski Area Association’s 2011 Climate Challenge’—a leadership initiative aimed at measuring and reducing ski areas’ carbon inventory.

Honored by the recognition of the Golden Eagle Award, and humbled by the opportunity to operate in the midst of one of the world’s most pristine natural environments, JHMR continues to create lifelong memories for our guests, while protecting the spectacular environment that they come to enjoy.

News: PPR To Acquire Volcom For $516.1 Million

From Reuters:
PPR (FR 0000121485, PRTP.PA, PPFP) announced today that its wholly owned subsidiary, Transfer Holding, Inc., is commencing a cash tender offer to purchase all outstanding shares of common stock of Volcom, Inc. (NASDAQ: VLCM). On May 2, 2011, the companies previously announced a definitive merger agreement, whereby PPR would acquire Volcom in a cash tender offer and subsequent merger at a price of $24.50 per Volcom share, in cash. The total enterprise value of the transaction is approximately $516.1 million.
If all closing conditions are met, including the requirement that at least a majority of the outstanding shares of Volcom common stock (on a fully diluted basis) are tendered, any remaining shares not tendered will be converted into the right to receive the same consideration in cash in connection with a merger of Transfer Holding into Volcom. Following the transaction, Volcom will be a wholly owned subsidiary of PPR.
Today PPR will file with the Securities and Exchange Commission (SEC) a tender offer statement on Schedule TO that provides the terms of the tender offer, and Volcom will file a solicitation/recommendation statement on Schedule 14D-9 that includes the recommendation of Volcom's board of directors that Volcom stockholders accept the tender offer and tender their shares into the offer. As previously disclosed, Volcom's board of directors has unanimously approved the transaction.
The tender offer will expire at midnight, New York City time, on Thursday, June 9, 2011, unless extended in accordance with the definitive agreement between PPR and Volcom and the applicable rules and regulations of the SEC. The closing of the tender offer is conditioned on, among other things, the valid tender of a majority of the outstanding shares of Volcom common stock on a fully diluted basis. The closing of the transaction is also conditioned upon the expiration or termination of any applicable waiting or review period under the Hart-Scott-Rodino Antitrust Improvements Act or any other antitrust or competition law and upon other customary closing conditions. As previously disclosed, stockholders holding shares representing approximately 14.4% of Volcom's common stock have agreed to tender all of their shares into the tender offer.
